By agreeing to enter a business relationship with Joanna Mitchell and purchasing any of her services, the client will be deemed to have agreed to be bound by these Terms and Conditions.

Upon entering a business relationship with Joanna, the client agrees to be open about their business needs and strategy so she can assist the client as efficiently as possible.

Joanna operates under the business name 'The Healthy VA' which is a registered business with ABN 27 890 725 751 and postal address, 11/63 Gilderthorpe Avenue, Randwick NSW, 2031, Australia.



Joanna's service rates are dependant on the clients requirements and are generally provided on a day, hourly or project basis.

Joanna reserves the right to change service rates at any time and will endeavour to provide sufficient notice to current clients of any changes.



Payment of invoices are required within 7 days of invoice date.

Joanna reserves the right to pause or terminate a working agreement should an invoice payment be delayed.



Due to the nature of freelance work, Joanna's working hours are flexible, however, she is generally online Monday to Friday between 9am-6pm.

Should the client have any requests which require attention outside Joanna's standard working hours or at weekends, they must notify her in advance and may incur an additional fee..

Turnaround time is a minimum of 24 hours.

For general tasks, the client should provide a date of completion for any work requested and Joanna will endeavour to complete the work on time.

Should the client consider a request to be urgent or to be completed within 24 hours, the client is responsible for notifying Joanna in writing, within a sufficient and reasonable time-frame for the work to be completed.

An urgent request is defined as a technical error or task that the client would like completed within 24 hours for valid, professional reasons. Any client who appears to be requesting urgent tasks on a regular basis, will have their workload and agreement reviewed to see if there is a better way to manage their demands.

Joanna reserves the right to refuse any ad-hoc or urgent requests at any time for the following reasons:

  • she is on annual leave or sick leave

  • it is a Public holiday or a weekend

  • the request is deemed unreasonable or a breach of these terms and conditions

  • the task is beyond Joanna's technical experience

  • the task is to be completed in an unreasonable time frame

  • access to a computer or the internet is limited



Joanna is not responsible for any success or failure that the client or the client’s business may experience as a result of any support provided.

The client agrees to enter a business relationship with Joanna freely, at their own risk and is responsible for any capital they may choose to spend implementing concepts discussed. The client will implement any concepts with skill and common sense and not hold Joanna liable or accountable in any way for any failure of the service to live up to their expectations.



The client understands that they are hiring the Joanna as an external provider and Joanna is not an employee of the client or business.

The client expects to be treated with respect and appreciation, and therefore provides the same to Joanna at all times.



Should the client feel Joanna's support is no longer required for their business, they are to provide 1 weeks notice of termination of the agreement.

Should Joanna feel she can no longer provide sufficient support for the client, she will provide 1 weeks notice of termination of the agreement.

Joanna reserves the right to terminate the agreement with the client immediately should the client breach these terms and conditions.

Should the client terminate the agreement within the 1 weeks notice, Joanna reserves the right to refuse a refund for any work that may have not been completed prior to the termination date.



This confidentiality clause includes:

  • all information relating to the Client, including his/her identify and any information about his/her matters, business, transactions, affairs, products, systems, client and customer information and anything which is specified to be confidential

  • all of the Clients email correspondence (personal or business related) and private website/social media engagement

  • all of the Clients passwords and login details for email, websites and any other online systems

  • all information about the Client or his/her associates, financial affairs, strategic or management plans, marketing, technical/development plans and any other information which is treated by the Client or his/her associates as confidential.

Joanna agrees to treat the Clients information as strictly confidential and this obligation applies both during the agreement and afterwards. Joanna will not share the Client's information with any third party unless compelled to do so by law. The above does not apply to information that is freely available to the public.



Joanna's business information, advice, resources and material on and are her intellectual property and are protected as such. This material may not be used (except for the intended purpose), copied, reproduced, published, stored on a retrieval system, altered or transmitted in any form without the prior written consent and approval of Joanna.



Joanna reserves the right to revise these terms from time to time, for example, to apply legal requirements to reflect functional changes. The client will be notified of any changes and if the Client disagrees with the general terms the Client must discontinue use of Joanna's services.



These Terms and Conditions shall be governed by and construed in accordance with the Laws of the State of New South Wales, Australia.
